Summary: As a senior member of the Legal Team, the Vice President Compliance will provide business-minded legal advice to internal clients over a wide range of topics and design, implement and manage an effective legal compliance program, providing guidance, expertise and research when needed, including, but not limited to the following: Developing, reviewing and maintaining Company policies to ensure that all such policies are updated to be consistent with applicable laws, regulations and best practices. Assessing Company operations to determine compliance risk and investigating compliance related matters. Advising management on possible risks and the Company’s compliance with laws and regulations. Implementing and participating in corporate compliance initiatives. As well as creating and managing effective action plans in response to audit discoveries and compliance violations. The Vice President, Compliance will assemble a compliance team that will initially focus on general compliance matters, including, but not limited to, the Company’s data privacy and FCPA compliance programs and ensuring that expectations regarding the latest regulations and processes are communicated and understood by the Company’s worldwide associates. The Vice President, Compliance will also provide continual staff development (training, guidance, technical support) to subordinate staff personnel to ensure they will have the tools to be effective in their positions. While the Vice President, Compliance will have the benefit of counsel from the EVP and CLO, they shall have primary responsibility for various projects with direct interaction and oversight of outside counsel, as appropriate.

Responsibilities:

  • Set long-term strategy, design, implement and manage Company compliance programs, including developing, managing and coordinating the compliance aspects of appropriate functions, including researching and remaining familiar with related regulatory structures.
  • Recruit, develop and manage Company compliance function personnel.
  • Direct, prepare, review, and implement training of Company personnel regarding compliance matters.
  • Assess Company operations to determine compliance risk. Advise management on possible risks. Conduct compliance related investigations. Create and manage effective action plans in response to audit discoveries and compliance violations.
  • Review and assess Company compliance with laws, regulations and best practices. This includes developing and reviewing Company policies to ensure that all such policies are updated to be consistent with applicable law, regulations and best practices.

Requirements:

  • Juris doctorate degree with a strong academic record and admitted to practice in good standing with at least one U.S. state bar required, as well as a good knowledge of legal requirements and procedures.
  • A minimum of a combination of 10-15+ years compliance related experience with a significant law firm and/or as corporate in-house counsel. Previous experience with developing and implementing a corporate compliance program is a plus.
  • Some domestic and/or international travel required. Sitting for extended periods required.
  • Compliance and data privacy matters experience is required.
